Special Report: Digital trust provider Stakk is entering the final stage of its US$63.0 million acquisition of US-based ParaScript, with completion expected within the next 10 days.
The company was buoyed by strong shareholder backing at its most recent general meeting, where investors voted overwhelmingly in favour of all five transaction resolutions.
Following shareholder approval Stakk (ASX:SKK) completed a A$27.0 million placement, issuing about 1.23 billion ordinary shares at A$0.022 each alongside free-attaching options.
The company has also issued about 1.18 billion consideration shares to satisfy the US$18.0 million share component of the acquisition deal.
To close out the deal, SKK will deliver US$25.0 million in upfront cash and US$20.0 million in deferred cash payments spread over four years.
Both parties are completing the remaining customary closing conditions, with ParaScript set to be acquired by Stakk’s wholly owned US subsidiary, Stakk IQ, and integrated into its existing US operations.
Outlook strengthens
Stakk said both businesses performed ahead of the assumptions underpinning the transaction during FY2026, strengthening the outlook for the combined group.
The combined group enters FY2027 well positioned to meet, and potentially exceed, its pro forma objectives of approximately A$55.2 million in revenue and A$18.5 million in EBITDA.
The company noted the outlook was supported by recurring revenue, continued client wins and growth across both businesses, while ParaScript was recently named in the Inc. 5000 list of fastest-growing private US companies.
Once completed, the combined digital trust platform is expected to serve more than 300 enterprise customers globally and process more than 100 billion digital interactions annually.
Stakk’s board said combining the businesses’ complementary technology, customer relationships and capabilities will create a stronger platform for growth.
